Mutual Non-Disclosure Agreement

Version 2026-10-07

Some projects start with things that aren't public yet: a launch, a home's security setup, a family story. If you'd like an NDA before you share, here it is in plain English. It protects both of us.

This agreement is between Dwight Robinson, who operates as 3005 Productions ("3005 Productions"), and the person or company signing below ("you"). It lets both sides share private information while we talk about working together, and keeps that information private.

1. What counts as confidential

Anything either side shares about the project, its business, its people, its plans, its systems or its finances that is marked confidential, or that a reasonable person would understand to be private. This includes unreleased photos, footage, designs, code, network or security details, and personal information about anyone.

2. What does not count

Information that was already public, becomes public through no fault of the receiving side, was already known to the receiving side, is received from someone else who was free to share it, or is developed independently without using the other side's information.

3. How each side will treat it

Use it only to discuss, plan or carry out work together. Protect it at least as carefully as your own private information, and never less than reasonably. Share it only with people who need it for that purpose and who are bound to keep it private.

4. When the law requires disclosure

If a law, court or government agency requires either side to disclose confidential information, that side may do so, and will tell the other side first when the law allows, so they can try to protect it.

5. Returning or deleting

When asked in writing, each side will return or delete the other side's confidential information, except copies kept in routine backups or where the law requires keeping them. Anything kept stays covered by this agreement.

6. No other rights

Sharing information does not give anyone ownership of it or a license to it. Copyright in photos, footage and other work stays with whoever created it unless a separate written agreement says otherwise. Neither side has to share anything or to work together.

7. How long it lasts

This agreement covers information shared for two years from the date both sides sign. The duty to keep that information private lasts three years after it was shared, and for trade secrets, for as long as they remain trade secrets.

8. If something goes wrong

Sharing confidential information without permission can cause harm that money alone cannot fix, so either side may ask a court to stop it, in addition to any other remedy. New York law governs this agreement, and disputes about it go to the state or federal courts in New York County, New York.

9. The whole agreement

This is the full agreement about confidentiality. Changes must be in writing and agreed by both sides. If any part cannot be enforced, the rest still applies. Electronic signatures count the same as handwritten ones.

Sign

You sign by typing your full name and agreeing below. You and 3005 Productions each get an emailed copy. The agreement takes effect when Dwight Robinson countersigns for 3005 Productions by replying to that email, normally within two business days.
